In 2013, SM Group consolidated the real estate subsidiaries and real estate assets under one single listed entity, SM Prime Holdings, Inc. Today, SM Prime is one of the largest integrated property developers in Southeast Asia that offers innovative and sustainable lifestyle cities with the development of malls, residences, offices, hotels, and convention centers. It is the largest property developer in terms of asset and income base as of end 2013 in the Philippines.

Being an integrated property developer, SM Prime goes beyond mall development and management. The residential business component comes from its subsidiary, SM Development Corporation (SMDC) that sells affordable condominium units. SM Prime’s commercial business unit, the Commercial Property Group (CPG) is engaged in the development and leasing of office buildings in Metro Manila, as well as the operations and management of buildings and other land holdings such as the Mall of Asia Arena (MOA Arena). Its hotels and convention centers business unit develops and manages various hotel and convention centers across the country.
SM Prime Holdings, Inc. was incorporated in the Philippines in 1994. They started as a mall developer and operator and grew to be the biggest retail shopping center developer and operator in the Philippines with 49 malls in and outside Metro Manila and 5 shopping malls in China, totaling 7 million square meters of Gross Floor Area (GFA). In the Philippines, they have a total of 15,986 tenants and 1,408 tenants in China.

MR. HENRY SY, SR. Chairman Mr. Henry Sy, Sr. has served as Chairman of the Board of Directors of SM Prime since 1994. MR. HENRY T. SY, JR. Director Mr. Henry T. Sy, Jr. has served as Director since 1994. He is the President of the National Grid Corporation of the Philippines. He is also Vice Chairman of SM Investments Corporation and SM Development Corporation, President of Highlands Prime, Inc., Director in BDO Unibank, Inc. and Chairman of Pico de Loro Beach and Country Club Inc.. He graduated with a management degree from De La Salle University.
MR. JOSE L. CUISIA, JR. Vice Chairman and Independent Director Mr. Jose L. Cuisia, Jr. has served as Vice Chairman of the Board of Directors of SM Prime since 1994. He is currently the Vice-Chairman of Philamlife since August 2009. He took his official diplomatic post as Ambassador Extraordinary and Plenipotentiary to the United States of America in 2011. He was the former President and Chief Executive Officer of the Philippine American Life and General Insurance Company. He served as Governor of the Bangko Sentral ng Pilipinas from 1990 to 1993 and Administrator of the Social Security System from 1986 to 1990. In May 2011, he was awarded the “Joseph Wharton Award for Lifetime Achievement” by the prestigious Wharton School of the University of Pennsylvania for an outstanding career in the country’s banking and social security system.
MR. GREGORIO U. KILAYKO Independent Director Mr. Gregorio U. Kilayko is the former Chairman of ABN Amro’s banking operations in the Philippines. He was the Philippine Stock Exchange Governor in 1996 and 2000. He was a director of the demutualized Philippine Stock Exchange in 2003. He was the founding head of ING Barings’ stockbrokerage and investment banking business in the Philippines. He was elected as Independent Director in 2008.
MR. HANS T. SY Director and President Mr. Hans T. Sy has served as Director since 1994 and as President since 2004. He is Director and Chairman of China Banking Corporation, Director of Highlands Prime, Inc. and is an Adviser to the Board of SM Investments Corporation. He is a mechanical engineering graduate of De La Salle University.
MR. HERBERT T. SY Director Mr. Herbert T. Sy has served as Director since 1994. He is an Adviser to the Board of SM Investments Corporation and is currently the Vice Chairman of Supervalue, Inc., Super Shopping Market, Inc. and Sanford Marketing Corporation and Director of China Banking Corporation. He holds a Bachelor’s degree in management from De La Salle University.
MR. JORGE T. MENDIOLA Director Mr. Jorge T. Mendiola was elected as Director in December 2012. He is currently the President of SM Department Stores. He is also the Vice Chairman for Advocacy of the Philippine Retailers Association. He took his Masters in Business Management from the Asian Institute of Management and has an A.B. Economics degree from Ateneo de Manila University.
MR. JOSELITO H. SIBAYAN Independent Director Mr. Joselito H. Sibayan has spent the past 25 years of his career in investment banking. He is currently the President and CEO of Mabuhay Capital Corporation (MC2), an independent financial advisory firm. Prior to forming MC2 in 2005, he was Vice Chairman, Investment Banking - Philippines and Country Manager for Credit Suisse First Boston (CSFB). He served as Head of International Fixed Income Sales at Deutsche Bank in New York. He later transferred to Natwest Markets to set up its International Fixed Income and Derivatives Sales/Trading operations and eventually run its team. MS. TERESITA SY-COSON Adviser to the Board Ms. Teresita Sy-Coson has served as Adviser to the Board since May 2008. At present, she is Chairman of BDO Unibank, Inc. She has worked with the Group for over 20 years and has varied experiences in retail merchandising, mall development and banking businesses.
MS. ELIZABETH T. SY Adviser to the Board Ms. Elizabeth T. Sy was elected as Adviser to the Board in April 2012. She was a Senior Vice President for Marketing from 1994 up to April 2012. She is a Director of SM Development Corporation and Co-Chairman of Pico de Loro Beach and Country Club Inc.

Corporate Social Responsibility
SM Prime is uniquely positioned to serve its host communities through various civic assistance, environmental education and sustainability programs. Its activities are two-pronged: to care for its customers while being a steward of the environment. SM Cares, a division of SM Foundation Inc., is the group that handles the corporate social responsibility programs of SM Prime Holdings, Inc.
There are programs that focus on the Environment and on People and Communities. SM Prime target: To become largest property firm in SEA

MANILA, Philippines - SM Prime Holdings Inc., the surviving entity in the mega-merger of the SM Group’s property businesses, is crafting an integrated expansion program outlining strategies to sustain the growth of the largest property developer in Southeast Asia, top executives said.
“We will submit the documents now to the Securities and Exchange Commission for approval and then after that we have to sit down with all our business unit heads to put up an integrated development plant for the enlarged group,” said SM Prime chief finance officer Jeffrey Lim.
“We would still continue as to what we have right now but within six months to a year, we should be able to reprogram everything (and) to come up with an integrated development plan,” added SM Prime president Hans T. Sy.
In late May, SM Investments Corp. (SMIC) merged its shopping mall developer SM Prime, residential builder SM Development Corp., private firm SM Land Inc. and upscale Tagaytay Highlands developer Highlands Prime Inc. in a P279-billion transaction that created Southeast Asia’s largest integrated property firm.
SM Prime approved in yesterday’s special stockholders meeting several steps that will result in the merger of SMIC’s property units.
For instance, SM Prime will increase it authorized capital stock to P40 billion from P20 billion. It will also become a mixed-use real property developer.

“We hope to secure all necessary approvals and complete this transaction before the end of the year,” Lim said.
“With the different property units of SM working as one, we can leverage the strengths of each of these units to undertake a wider range of projects, larger in scope in a more coordinated manner,” Sy added.
Moving forward, the malls business will be the heart of the new SM Prime.
“The shopping mall will still be the core (business) in terms of anchoring our lifestyle cities,” Lim said, adding that 60 percent of the business with the integrated SM Prime will be recurring income.
Lim said SM Prime can tap debts for the regional expansion program, which will focus on China.
“Right now we will focus in China. For other regions, we don’t have plans yet but we are always open to opportunity,” Lim said.
SM Prime currently has five malls in China that accounted for 10 percent of the total bottom line. Two more malls are in the pipeline and SM Prime is under final negotiations for three to four other malls in new locations.
The transformed SM Prime will have P284 billion in current assets from P148 billion, revenues of P58.4 billion from P30.7 billion, net income of P17 billion from P10.9 billion and total landbank of 920 hectares from 110 hectares.
After the consolidation, the main operating units of SM Prime will focus on malls, residential, commercial, hospitality and leisure, and lifestyle cities.
