Introduction
Three men, all at the top of their game at three different companies. These three men were hired to lead, provide direction, and make profitable returns for the owners and shareholders of the companies in which they were employed. These men all had come from different industries and separate occupations. However, they all share a common character lapse that led to sin. That sin, ultimately led to a quick undoing of what had taken decades to accomplish.
Harry Stonecipher
Harry had a successful 32-year record of accomplishment in the aerospace industry. At the peak of his career, he was named the CEO of Boeing. Harry was not a silver spoon CEO. Harry had worked his way up the ranks. He was credited for saving Sundstrand, repaired the necessary relationships with the DOD, built a great rapport with his labor force, and improved product reliability. Once Harry retired, his successor was embroiled in scandals that tarnished the company image. Harry was brought back in to restore the image and credibility of Boeing. Harry introduced a new code of conduct for all of Boeing’s employees, which numbered approximately 150,000. An anonymous tip revealed that Harry was involved in the sin of adultery. Harry received an attractive severance package and retained his nearly $700,000 annual pension.
Mark Hurd
Mark was the chairman and CEO of HP. Mark had been in the industry for over two decades. As with Harry, Mark had been brought in to restore the image and improve HP after scandals by his predecessors had tarnished the company image. After just five years at HP, Mark was forced to resign. Mark had committed the sin of adultery with a contractor. Mark was given a $12.2 million dollar severance package for his agreement not to pursue legal action.
Brian Dunn
Brian started as a Best Buy sales associate in 1985. Brian had risen to the rank of CEO in 2009. In 2012, Brian unexpectedly resigned. Brian was married, and was accused of the sin of adultery with another Best Buy employee. Brian received a $2.85 million dollar severance payment. In addition, Brian received a previously earned bonus of $1.4 million and stock grants of $2.54 million.
Conclusion
Harry, Mark, and Brian must have been bright and talented individuals to work their way to such great heights. It is most certain that these men were able to have great insight into cause and effect analysis. Harry and Mark had been specifically tasked with resurrecting the images of their companies. Even so, all of these men committed the sin of adultery and quickly lost the coveted positions they were in. After all, if their wives cannot trust them, then how could employees and shareholders trust them?
Of note, all received great severance packages. At first, it would seem that their bad behavior was being rewarded with such lucrative packages. However, it is often less expensive for the companies to remove the fallen leaders quietly by keeping them happy with the bounty while showing them the door. All of these men knew what was expected of them at home and at work. Just as King David, they were so comfortable in their position, they were blinded by their desire for women that God had not given to them.
The board members were absolutely correct and justified in removing these men from their positions.

...CORPORATE WORLD Clause 49 of Listing Agreement on Corporate Governance —Dilip Kumar Sen SEBI has revised Clause 49 of the Listing Agreement pertaining to corporate governance vide circular dated October 29, 2004, which supersedes all other earlier circulars issued by SEBI on this subject. The article highlights important changes in the corporate governance norms. C lause 49 of the Listing Agreement, which deals with Corporate Governance norms that a listed entity should follow, was first introduced in the financial year 2000-01 based on recommendations of Kumar Mangalam Birla committee. After these recommendations were in place for about two years, SEBI, in order to evaluate the adequacy of the existing practices and to further improve the existing practices set up a committee under the Chairmanship of Mr Narayana Murthy during 2002-03. The Murthy committee, after holding three meetings, had submitted the draft recommendations on corporate governance norms. After deliberations, SEBI accepted the recommendations in August 2003 and asked the Stock Exchanges to revise Clause 49 of the Listing recommendations and the same was put up on SEBI website on 15th December 2003 for public comments. It was only on 29th October 2004 that SEBI finally announced revised Clause 49, which will have to be implemented by the end of financial year 2004-05.
