Maybank’s BinaFikir acquisitionIN reference to StarBizWeek’s article “Moving in – and out. The slew of changes at Maybank signals something’s up” ... we wish to make the following clarification to the point raised on Maybank’s acquisition of BinaFikir Sdn Bhd.The BinaFikir acquisition was executed at an initial purchase consideration based on net book value and an additional final purchase consideration dependent on net actual cash earnings of BinaFikir from their existing mandates as at Aug 31, 2008, i.e. prior to the acquisition. The purchase consideration was subsequently determined based on actual audited financial results as at June 30, 2009 at an agreed sum of RM5.99mil (instead of the earlier estimation of RM8mil). This represents a small premium of RM750,000 over BinaFikir’s net asset value of RM5.24mil as at June 30, 2009.Post-acquisition, BinaFikir recorded net profit of over RM930,000 for the half year ended Dec 31, 2009. The strategic advisory franchise of BinaFikir, now well integrated into Maybank Investment Bank, has seen an expansion of our investment banking operations and talent, enabling Maybank IB to position itself more aggressively in a challenging investment banking environment.As stated in our press release on March 15, 2010, Mohammed Rashdan Yusof, the chief executive officer of Maybank IB, has played a key role in building new capabilities and resources into our investment banking group.A good team is in place at Maybank IB and with the solid support of the larger Maybank group, we are confident that the performance uptrend
