This sample document is the work product of a national coalition of attorneys who specialize in venture capital financings, working under the auspices of the NVCA. This document is intended to serve as a starting point only, and should be tailored to meet your specific requirements. This document should not be construed as legal advice for any particular facts or circumstances. Note that this sample document presents an array of (often mutually exclusive) options with respect to particular deal provisions.

TERM SHEET

Preliminary Note

This term sheet maps to the NVCA Model Documents, and for convenience the provisions are grouped according to the particular Model Document in which they may be found. Although this term sheet is perhaps somewhat longer than a "typical" VC Term Sheet, the aim is to provide a level of detail that makes the term sheet useful as both a road map for the document drafters and as a reference source for the business people to quickly find deal terms without the necessity of having to consult the legal documents (assuming of course there have been no changes to the material deal terms prior to execution of the final documents).

Financial Accounting

...Financial accounting Course Assessment 1 FACC/mcyildv2/July14/1 Part A Balance sheet: Income statement: Workings Balance sheet: a/ Tangible fixed assets: 66000£ of fixtures and fittings bought as per August 1st, 2013, needed to be depreciated over 6 years on a straight line method, taking into account a residual value of 10%, meaning 6600 £. This means a yearly depreciation amount of 9900£, which can also be seen on line ‘p’ in the income statement. The 56100£ as the balance on the tangible fixed assets is the difference between the purchase value of 66000£ and the depreciation amount of 9900£. b/ WIP means Work in Process. These assets have been bought before July 31st, 2014, but according to the description have not yet started to be used in the business. Also this 10000£ was not yet reflected in the cash statement as was not yet paid, thus was added on line ‘j’, trade payables. As these assets are not yet used, these are also not being depreciated yet. Only form the moment they are being used, they will be included in depreciation. Therefore we have catalogued them here as WIP. c/ Inventory: the 32000£ is the difference between the 38000£ and the 50% of the 12000£ of inventory which will only be sellable for half of the price, meaning we need to show the lower of the value of the carrying amount and the market value, which in this case is the market value. The write off of this inventory is shown on line...

BS1 General Ledger from Davis Business Systems brings the General Ledger up to cyber speed with a variety of easy-to-use accounting tools that can track budgets and financial data and generate income statements, balance sheets, and other reports. It's freeware, a good start, accountancy-wise. This report will provide descriptive statistics and summarize the distribution of WI, WEF and FS. In this report, WI, WEF and FS were grouped equally into 7, 8 and 5 intervals respectively in order to summarize the frequency distribution presented in the Appendix C. In terms of WI, the incomes of the wealthiest and poorest households were $1336 and 195$ per week respectively. In addition, the vast majority of households (71.11 percent) earned from $195 to $358 per week as shown in Table C1. On the other hand, the WI which ranged between $684 and $1010 had only one frequency. At a higher level of income, there were only 4 out of 45 households obtaining from $1010 to $1336 weekly. This distribution of income led to the right skewed and unimodal of WI histogram (Figure C1). Furthermore, Table D1 indicates that the average WI of a household was about $408 and less than half...

Effctive of Counselling Services in Ghanaian Prisons

...UNIVERSITY OF CAPE COAST THE EFFECTIVENESS OF COUNSELLING SERVICES IN GHANAIAN PRISONS: A STUDY OF ANKAFUL AND SEKONDI PRISONS. REV. FR. DUAH 2014 CHAPTER ONE INTRODUCTION Background of the Study Since ancient times till now, no clan or society has existed without crimes and offenses of some kind for which society inflicts punishments (Dobb, 1994). In pre-colonial Ghana, different traditional societies had their own various ways of meting out punishments, deterring and rehabilitating offenders and deviants. In these societies, the socialization of the people and sanctions meted out to offenders were both in accordance to the customs, values, belief systems and traditions of the people. Power and authority rested on the chiefs and traditional rulers as well as heads of clans and families to punish culprits of various offenses and offer rehabilitation services. According to The Library of Congress Country Studies (1994) there was no prison system in the traditional Ghanaian society in the colonial era and advent of western education and culture in Ghana. The Ghana Police Service was established and mandated to provide the security needs of the citizens by protecting lives and properties. The judiciary or law courts of Ghana were also given the mandate to provide fair trial and justice to offenders arranged before them and those found guilty were given various punishments ranging from fines to custodian sentences in jail to serve as a deterrent to others. In the mid-nineteenth...

Acct504 Wk 1 Discussion

...Week 1: Overview of Financial Statements - Discussion Accounting is a way of tracking transactions and organizing them into concise reports to be used by investors, principals of companies, or government agencies to be able to control the financial health of a company, family, or an individual. The book uses the example of a checkbook, which is apropos, as I don't know of anyone who has never "bounced" a check due to careless recording of a transaction.  Accounting involves a level of trust, that the reporting is accurate and true.  Unfortunately, trust is not enough, and it must be standardized and regulated. Accounting is a way to maximize a finite resource (capital) and allocate it in the most efficient way.   Accounting is the bookkeeping methods involved in making a financial record of business transactions. It is also the preparation of statements concerning the assets, liabilities, and operating results of a business.  Accounting is part of every day life for those who pay bills as well.  Honestly in the business community there has to be accounting in place to see where the business stands. What is GAAP?  What is the purpose of GAAP? | | | GAAP are the rules that stop accountants from manipulating numbers and formulas to represent whatever it is they want the numbers to say rather than it being an actual reflection of the company's performance. these principles are put in place to prevent the over valuation of company's and overstating of profits that...
