اتفاقية خدمة خاصة
مقدمة: حررت هذه الاتفاقية بين المركز الوطني للاحصاء وفيما بعد (الفريق الاول) وبين ................ وفيما بعد (الفريق الثاني). لما كان الفريق الاول يرغب في الحصول على خدمات استشارية من الفريق الثاني حسب البنود والشروط المبينة في هذه الاتفاقية، بهدف القيام ب ................................ ، وحيث ان الفريق الثاني عبر عن موافقته للعمل يموجب هذه الاتفاقية لتنفيذ الانشطة اللازمة لهذا الهدف وتقديم الخدمات الفنية اللازمة لانجاح النشاط، فقد اتفق الفريقان على ما يلي:- 1. طبيعة الخدمات:
خدمات احصائية: تنفيذ دورة تدريب احصائي وفقا للشروط المرجعية المرفقة والتي تعتبر جزءا لا يتجزا من هذه الاتفاقية بحيث يلتزم الفريق الثاني بالقيام بالمهام التي تتطلبها احتياجات الدورة بالتنسيق مع ادارة مركز التدريب الاحصائي حسب اطار العمل المتفق عليه بين الطرفين. ويتعهد الفريق الاول بتوفير متطلبات تنفيذ النشاط وباقي المتطلبات اللوجستية اللازمة لقيام الفريق الثاني لانهاء العمل المتفق عليه ضمن هذه الاتفاقية. 2. مدة الاتفاقية:
يبدا العمل بهذه الاتفاقية من تاريخ 00/00/2010 وحتى تاريخ 00/00/2010 قابلة للتجديد بناء على اتفاق الطرفين وينتهي العمل بها عند انجاز الخدمات المشار اليها اعلاه على النحو المطلوب كما تحدده الشروط المرجعية. 3. الأتعاب:
3-1. يدفع الفريق الاول للفريق الثاني مبلغا مقطوعا قدره (0000) درهماً عن فترة العقد كاملة لقاء الخدمات التي يقدمها وفق هذه الاتفاقية وبما يتماشى مع أحكام النظام المالي المعمول به في المركز الوطني للاحصاء.
3-2. يشترط في تنفيذ أي دفعة مالية مصادقة الفريق الأول على الخدمات الموجبة للدفعة المالية وأنها قد أنجزت على النحو المطلوب. 4. التعويض عن الاصابات التي تحدث اثناء تأدية الخدمات :
يتحمل الفريق الثاني على نفقته الخاصة مسؤولية توفير تأمين صحي خاص به وباعضاء فريقه اذا لزم الامر، بما في ذلك التعويض عن اية اصابات عمل قد تحدث اثناء تادية الخدمات، بحيث يغطي التامين كامل مدة الاتفاقية. 5. الوضع القانوني للفريق الثاني:
يتمتع الفريق الثاني بالوضع القانوني للمتعاقد المستقل وفق قواعد الاتفاق والاحكام والانظمة ذات العلاقة في الدولة. 6. حقوق والتزامات الفريق الثاني:
- تنحصر حقوق والتزامات الفريق الثاني بشكل تام ضمن أحكام وشروط هذه الاتفاقية ولا يحق للفريق الثاني المطالبة بأية مزايا، دفعات، إعلانات أو استحقاقات، باستثناء تلك المنصوص عليها في الاتفاقية.
- يحصل الفريق الثاني على كامل المستحقات المذكورة في البند 3.1 بعد الانتهاء من تنفيذ النشاط موضع الاتفاق، وفق الترتيب التالي: 1. الدفعة الأولى عند توقيع الاتفاقية بقيمة ثلث قيمة العقد. 2. الدفعة الثانية بقيمة الثلث الثاني عند انتهاء العمل الميداني وتقديم مسودة التقرير.
3. الدفعة الثالثة عند اعتماد التقرير النهائي للمشروع من قبل البلدية وبمدة لا تتجاوز ثلاثة أسابيع من تاريخ تسليم التقرير.
- سوف يتحمل الفريق الثاني مسؤولية أية مطالبات أو مساءلة من طرف ثالث تنجم عن اقتراف أخطاء أو إهمال في سياق تنفيذه للاتفاقية، ولن يتحمل الفريق الأول مسؤولية هذه المطالبات تحت أي ظرف من الظروف.
- تنتقل جميع حقوق التأليف والنشر وأية حقوق أخرى تكتسب بصرف النظر عن طبيعتها من خلال الشراء أو أية وسيلة أخرى، بموجب أحكام هذه الاتفاقية إلى الفريق الأول فقط لا غير. ولا يجوز استخدام او نشر أية مادة لأعمال قام بها الفريق الثاني لصالح الفريق الأول دون موافقة الفريق الأول الخطية المسبقة.
- يحتفظ الفريق الأول بحق نشر أو عدم نشر أية مادة يتم تقديمها من قبل الفريق الثاني، كما يحتفظ الفريق الأول بحق الإضافة أو التعديل أو حذف أية جزء من أي مواد يقدمها الفريق الثاني لأغراض هذا النشاط.
- يلتزم الفريق الثاني بتقديم المخرجات التي تم الاتفاق على اعدادها من خلال هذا النشاط وتشمل: مادة العرض/ مادة التدريب (المرجع) اذا وجد (محوسبة وورقية).
- يلتزم الفريق الثاني بتقديم عرض حول نتائج النشادط التدريبي للفريق الاول في نهاية البرنامج التدريبي بغرض الاستفادة من ذلك في تقييم النشاط. 7. إنهاء الاتفاقية:
أ. يحق لأي من الفريقين إنهاء الاتفاقية في أي وقت، شريطة إعلام الفريق الآخر بذلك خطياً قبل مدة لا تقل عن يوم / اسبوع / شهر من قيامه بذلك. وفي حال إنهاء الاتفاقية على هذا النحو من قبل الفريق الاول، يتم تعويض الفريق الثاني لقاء العمل الفعلي الذي قام بإنجازه، والذي يلبي متطلبات الفريق الأول على أساس الوحدة. وفي حالة إنهاء الاتفاقية من قبل الفريق الثاني فإنه يتعهد بإرجاع جميع المبالغ المدفوعة إليه حتى تاريخ الإنهاء.
ب. يحق للفريق الأول حجز جزء من أو كامل الدفعة المستحقة للفريق الثاني إذا ترتب على إنهاء الاتفاقية من قبل الفريق الثاني تحمل الفريق الأول لتكاليف إضافية من أجل إنجاز العمل كما حددته الشروط المرجعية، TOR.
ج. يحق للفريق الأول حجز جزء من أو كامل الدفعة المستحقة للفريق الثاني إذا أخل الفريق الثاني بشروط هذه الاتفاقية أو استنكف عن تنفيذ العمل بطريقة تتعارض مع البند (7-1)، أو أخفق في تلبية البنود والشروط الواردة في الاتفاقية أو الشروط المرجعية، TOR، بما يتماشى مع متطلبات الفريق الأول.
د. وفي حالة كانت خسائر الفريق الأول الناتجة عن إنهاء الاتفاقية أكبر من الدفعة المستحقة للفريق الثاني، يتحمل الفريق الثاني الخسائر الإضافية المترتبة على ذلك.
8. السرية التامة:
يتعهد الفريق الثاني بالمحافظة على السرية التامة والكاملة للمعلومات الواردة في هذه الاتفاقية وأية معلومات تصل له و/أو يحصل عليها من خلال هذه الاتفاقية إلى حين الاتفاق على خلاف ذلك خطياً، كما وبنفس الوقت لا يجوز للفريق الثاني إصدار أي بيان صحفي أو إعلان أو التحدث أو إجراء مقابلات مع أي فريق ثالث أو إفشاء أو تسريب أي معلومات عن أو حول هذا الاتفاق، بأي شكل كان، إلا بموافقة الفريق الأول الخطية المسبقة. حررت هذه الاتفاقية من نسختين أصليتين، يحتفظ كل فريق بنسخة أصلية.
