GENERAL TERMS & CONDITIONS
(Unless Otherwise Specified)

1. BASIS: All business shall be transacted between the buyer and seller on principals to principals basis. 2. QUANTITY: Quantity set forth on face hereof is subject to a variation of 5% plus or minus. 3. SHIPMENT: Date of bill of lading shall be accepted as a conclusive date of shipment. Partial shipments and transshipment shall be permitted unless otherwise stated on face hereof.
The seller shall not be responsible for non-shipment or late shipment of the contracted goods due to causes beyond the seller’s control and causes due to failure of the buyer to provide in time the relative letter of credit or other instructions requested by the seller. 4. PAYMENT: An irrevocable letter of credit shall be established within 15 days after conclusion of any contract and such letter of credit shall be maintained valid at least 15 days after the month of shipment for negotiation of the relative draft. 5. If the buyer fails to provide such letter of credit for the seller as prescribed above, the seller has the option of reselling the contracted goods for the account of the buyer or holding the goods on the buyer’s account and risk. 6. DELIVERY: When delivery covers two or more months, shipment shall be made in equal monthly proportion as far as possible unless otherwise previously instructed. 7. CLAIM: Any claim by the buyer regarding the goods shipped shall be notified by the buyer to the seller within 30 days after the arrival of the goods at the destination specified in the relative bill of lading. 8. INSPECTION: Unless otherwise instructed by the buyer, export inspection by Chinese Authorities, Manufacturers or the seller be considered as final. When the buyer requires special inspection by appointment, the buyer must inform the seller of such name of inspector at the time of contract and such inspection fees shall be borne by the buyer. 9. Freight & War Risk Insurance: Increase of Freight and War Risk Insurance rates from the current rates available at the time of contract shall be for the buyer’s account. 10. CARRYING BOAT: As a general rule the buyer shall not appoint any steamship company or steamer for shipment. But in the case of such appointment, the seller shall not be responsible for late shipment due to delay or cancellation of such carrying boat. Further the buyer shall agree to the seller’s requests, such as amendment of letter of credit, and any other procedure for fulfillment of such shipment. 11. ARBITRATION: All disputes, controversies or differences which may arise between the parties, out of or in relation to or in connection with this contract, or for the breach thereof, shall be settled by arbitration in Taipei, Taiwan, Republic of China in accordance with the ruler of the Commercial Arbitration Association of Republic of China. The award shall be final and binding on both parties. 12. THE PROPER LAW OF THE CONTRACT: The formation, validity, construction and the performance of this contract are governed by the law of Republic of China.
