LAW/421-Contemporary Business Law

R. Garth Ferrell

During week, 4 and 5 of Contemporary Business Law the class went more into depth of contracts including formation, breach or discharge, and the UCC. The team gained a better understanding of the elements of a binding contract and how the UCC is involved with contracts. The class discussion was mainly regarding contracts, the UCC code, and the differences. The concept for Diana that sometimes is difficult is deciding if both parties in a contract gave consideration. If that element is missing this constitutes the lack of a contractual agreement. However, under the UCC code for merchants this is not a required element. The other piece that can be difficult to discern is deciding when the date of the contract begins, which must also meet certain elements to be a legal accord. The oral or written information must include the parties, price, object, and time that both parties mutually agree, and if not clear, one party may believe something different from the other party. Additionally, businesses need to pay close attention to the acceptance portion in contacts because of the “mailbox rule” because if specific date requirements are not in the arrangement this could be a reason for a dispute. The Statue of Frauds portion was another area of discussion to decide when written agreements are a requirement such as in UCC for amounts greater than 500.00 or 5,000 in certain areas. Additionally, land contracts, performances greater than one year, contracts in consideration of marriage, surety for another, and executing a will are elements under contracts to verify. These and other contract and agreement topics like remedies are important for individuals, managers, and entrepreneurs when making choices in business (R.

...responsibility rules. Certain provisions of Sarbanes – Oxley are directly applicable to privately held companies. Privately held companies doing business with public companies subject to the act may have certain Sarbanes- based provisions imposed as a matter of contract. Attorneys and their privately held clients should expect that some of these concepts will filter into professional responsibility rules. The Sarbanes- Oxley Act has created a positive impact on the ethical culture of large corporations. International Commerce Risk

...International Commercial Risks Maria Mendoza Suarez LAW 421 June 16, 2014 Michael Green International Commercial Risks International law is not a simple process to adhere to, especially when trying to conduct business abroad. According to Melvin (2011), international law is best defined as a “body of rules and principles of action binding on countries, international organizations, and individuals in their relations with one another” (p. 631). Contracts and legal agreements are a crucial instrument or tool used when building relationships with other nations. There are many issues than can arise within a period of time that be minimized, if not avoided completely. There are factors that will need to be considered when deciding to take any legal action against the other nations, meanwhile respecting their customs and laws. There are two systems in law in which a crime can be placed under and they are either civil or criminal. The two systems both play an important role in the way a crime is catergorized. “Small businesses must comply with the same rules and regulations that apply to large companies and thus need someone with legal expertise from time to time” (Hamel, n.d.). The Role and Functions of Law in Modern American Society

...The Role and Functions of Law in Modern American Society Name LAW/421 September 10, 2012 Abstract The legal system in the United States is set forth by the Founding Fathers in the Constitution. The Constitution defines certain inalienable rights inherent to all citizens and provides the framework for the federal system. The government is separated into three branches: a bicameral Congress, the Executive branch, and the Judicial branch. These sections of government hold different responsibilities in the legal system and work together to make it work. The federal government is given preemptive power over the states, making it the final authority on legal matters. Military law has a few differences when compared to civilian law, Department of Defense employees are held to a higher standard than the average citizen. Furthermore, due to operational constraints, certain rights are restricted; free speech and equal opportunity are the most contested. The legal system governs society in a way that allows citizens to be productive members of society, it defines crimes and punishment, and it organizes the way businesses operate with one another. The Role and Functions of Law in Modern Society Law is an integral part of American society; its implementation in daily life allows Americans to participate efficiently in a national community. Law serves many functions in modern America, but above all it is designed for the preservation of life, liberty, and personal property...
