Assignment 1: Partnership vs. Corporation
Due Week 7 and worth 240 points
Use the partnership and corporate tax returns for the practice sets titled, “Pet Kingdom” and “ROCK the Ages, LLC” that you prepared in Weeks 3 and 5 in order to complete this assignment.
Write a four to five (4-5) page paper in which you: 1. Compare and contrast the tax rules and treatment applicable to corporations and partnerships. Indicate the major way in which the tax treatment affects the shareholders or partners. The tax rules for a corporation are taxed at a different level than the various business structures. Corporations are the only business structure that are required to pay its own income taxes based on the profits received. The corporation requires it to file a tax return using Form 1120 and pay taxes at a corporate income tax rate on any profits. When deciding on what amount must be paid at a corporate level, the amount of tax due must be estimated and are due by the end of the year and quarterly payments are recommended. The shareholders are affected by the corporation tax rules, because they are taxed based upon being owners and working for the corporation and required to pay taxes on their salaries and the bonuses they receive like any regular employees of a company. It must be understood that salaries and bonuses are being deducted as business expenses, so that means that the corporation does not pay taxes on them. A corporation is taxed on all its profits because it does not deduct any profits as a business expense, but it is composed of money that is kept in company to cover expenses or expansion projects called retained earnings that are distributed to the shareholders as dividends. The IRS will allow a corporation to leave up to $250,000 at one time when other business entities can only retain up to $150,000 at a time. Other benefits of forming a corporation is...

...Jose Cando ENGL-2327 April 26, 2014 Balcones Fiction and Poetry Winners Reading Event: Natalie Diaz’s Reading of When My Brother Was an Aztec Outside the ACC Theater on April 9th, the public was greeted by tables of refreshment including fruits cheeses and crackers which was a nice surprise. Although, I had expected a packed theater, only about forty people were waiting inside. The event started at 6:30 pm when Charlotte Gullick, the chair of the creative a writing department took the stage. After promoting some of creative writing classes at ACC, she described the significance of the Balcones prizes. A teacher from the English department took the stage next to talk a little more about the Balcones prize. He pointed out that Natalie Diaz was the sixteenth winner of this prize. He described Ms. Diaz as a woman with her foot “in three different worlds.” Her childhood was spent on the Mojave reservation in the California Desert. She attended college in Virginia on a basketball scholarship, and from there she played professional basketball in Europe and Asia. After injuring her knee, she left basketball to study poetry in graduate school. Therefore, he claimed, she has a foot in the worlds of the reservation, basketball and poetry. With that, he welcomed Nathalie to the stage. Nathalie jumped into reading her poem, “When My Brother Was an Aztec.” I was shocked to hear the bitterness and resentment in her voice as she describe her brother as a nasty and careless force......

It was also alleged that the reaction can occur at temperatures as low as 130 degrees and roofs can reach 180 degrees without the presence of fire. The homeowners say that the chemical reaction “weakens the wood and destroys the bonding between the plywood laminates, thereby causing the wood, among other things, to bow, darken, spot, warp fracture and otherwise deteriorate and lose strength capacity.” The homeowners claim that this reaction will eventually occur in the plywood installed in their homes, without regard to ventilation or moisture levels I attics. Anagene

...McKenna Bailey Charles Klemstine ACC 317 28 September 2015 Anagene, Inc. Case: Predetermined Overhead Rates and the Death Spiral 1. What is causing the fluctuating margins for the cartridges? How would the overhead rate be affected if the R&D department requested an additional 10,000 units for testing? • The fluctuating margins for the cartridges results from the sales of the fully depreciated workstation • Resulted primarily from workstation sales; cartridge revenues were still pretty small o Prototypes that had been fully depreciated already → well above-average gross margins • Reader/loader units from Japan that were put through a lot of quality control → higher cost and below-average margins (8) • Based on the arithmetic calculation, the overhead rate would decrease; overhead, the numerator, would remain the same, while being spread over a larger denominator, the allocation base quantity 2. What are the causes of excess capacity at ANAGENE? How is this situation different from the causes of excess capacity at BRIDGETON INDUSTRIES? • Initial output was for R&D purposes; production volumes varied more than 100% from month to month • The anticipated cartridge production volumes keep fluctuating • Addressing new markets • At Bridgeton, the death spiral resulted from the continuous outsourcing of their products; this is evident in the changes of their overhead rates from 1988 to 1989 as there were fewer variable costs in the denominator. 3. Should Gerald Kelly......

...Recognized Courses in Accounting/Tax Research and Analysis and Accounting/Business Communications September 3, 2014 The Texas State Board of Public Accountancy requires each candidate to complete a minimum of two semester hours in accounting research and analysis or tax research and analysis from a recognized college or university. The semester hours may be obtained through a discrete course or offered through an integrated approach. If the course content is offered through integration, the college or university must advise the Board which course(s) contain the research and analysis content. Courses identified through integration must dedicate 1 semester hour, or quarter hour equivalent, to research and analysis. Courses used to meet this requirement may not be used to meet the requirement for accounting or business communications described below. Course(s) identified by a university to meet the requirements for research and analysis in accounting or taxation should primarily address the identification, organization, and integration of diverse sources of information such as authoritative literature and pronouncements, to reach a conclusion or make a decision; and should analyze accounting and taxation issues by reviewing information, using empirical data and analytical methods, recognizing data in patterned activities, forecasting, and integrating data. CPAs may be asked to conduct research and analysis when providing attest services, professional......

Cardiac Rehab

...Dorasami The World Health Organization predicts that deaths due to cardiovascular disease (CVD) will increase around the globe from 17 million in 2008 to 25 million in 2030, (WHO,2012). CVDs are defined as all diseases of the circulatory system, including those of congenital origin, (AHA, 2010). Due to their high prevalence, CVDs impose a high social and financial burden on individuals, families and healthcare systems around the world. Surgical procedures like coronary artery bypass graft (CABG), balloon angioplasty, and valve repair and replacement are integral to the treatment of CVD, (WHO, 2013). Although these surgical procedures often improve survival rates, decrease symptoms and increase an individual’s functional ability (ACC/AHA 2004), surgery is not curative and individuals with chronic CVD remain at increased risk for coronary events(Foody et al. 2003, Hawks et al 2006). In addition to acute -operative care, these individuals must develop the knowledge and skills for self-management (Capewell S, 2008 & Vachenauer R. 2008). It is therefore important to encourage or enlist these patients in a health promotion programme post-surgery. The main aspects I would focus on include a behavioural change and an educational programme. Patient education programme The first aspect to be discussed with these patients will be based on: The concepts of atherosclerosis and its risk factors The reason for this is to help the patient understand why they......

Liquidation and Dissolution

...Running head: LIQUIDATION AND DISSOLUTION Liquidation and Dissolution Instructor: ACC 317 Advanced Federal Taxation April 29, 2012 Abstract In discussing the differences between a corporation that is liquidated and one that is dissolved, I will be defining the terms and what the causes are for a Corporation. You will come to find out there is a difference between the two; the differences you find are mainly used for Tax Purposes. Liquidation refers to the complete sale of the business assets, whereas Dissolution refers to the closure of a business, usually on voluntary terms of the business proprietor. When dealing with the process of either situation your assets should be of a focusing concern, but these are all things that will be discussed throughout the dissertation. The difference between a corporation that is liquidated and one that is dissolved is Liquidation is when company debts and other liabilities exceed its assets; or firm is terminated or bankrupt, its assets are sold and the proceeds pay creditors. Any odds and ends are distributed to pay off the shareholders. When a corporation is completely liquidated, it transfers all of its assets to its shareholders whether the assets are cash or property and the shareholders assume the corporation's remaining liabilities.  Liquidation sales take place in various formats, including negotiated buyouts, consignment sales and auctions. Whereas Dissolution refers to the closure of a business, usually on......

Liquidation vs. Dissolution

...Liquidation vs. Dissolution Myron D. Roberts Strayer University Advanced Federal Taxation ACC 317 Professor Sondra Smith September 7, 2012 In this paper, I will identify the differences between when a corporation liquidates and when it is dissolved. Companies no longer viable often have no alternative but to cease operations. When a company terminates its operation, it goes through a process known variously as liquidation and dissolution. Even though these terms are often used to describe the entire method of shutting down a business, they are actually two separate stages in the course of action. Discuss the differences between a corporation that is liquidated and one that is dissolved. “When a company goes out of business, there is a set of legal processes by which the company will typically go through, including the liquidation of assets and the distribution of the proceeds to creditors and owners. This entire process is known as dissolution. Therefore, the major difference between liquidation and dissolution is that liquidation is a part of the overall dissolution process” (Richards, 2012). “Liquidation refers to the complete sale of the business assets. “This means the conversion of something into cash. In the context of the business, this involves selling the assets of the company. This may be the best option if the company has no other option when business closure is imminent, such as a merger or acquiring emergency capital” (Johnson,......
