ACCT504: Accounting and Finance: Managerial Use and Analysis

If LJB Company is serious about going public then you all need to make sure you are folling the new internal conrol provisions of Sarbanes-Oxley Act that SEC implemented. This says that management needs to report on internal conrol over financial reporting and certifiaction of disclosure in Exchange Act periodic reports. Under the finacl rules, management annual internal control report will have to contain a statement of management’s responsibility for establishing and maintaining adequate internal control over financial reporting for the company; a statement identifying the frameworkd used byt management to evaluate the effectiveness of this internal control; management’s assessment of the effectiveness of this internal control as of the end of the company’s fiscal year; and a statement that its autitor has issued an attestation report on mangement’s assesssment (U.S. Securities and Exchange Commission). Implementing five primary componants of internal control would help meet these requirement; a control enviornment, risk assessment, control activities, information and communication and monitoring (Kimel pg 338). LJB is already doing a good job at having some physical controls in place by making sure the checks are kept in a safe over the weekend which keeps company funds safe and controls theft as well as by pr-numbering invoices so that documentation procedures stay consistant with invoices. I would recommend the company purchase the indelible ink machine in order to add to the phyical conrols already in place. This machine would ensure there is no forgery taking place and would demonstrate good control actitvity.
While LJB Company is doing a moderate job at its internal control priniples, please note that if you decide to go public, there will need to be some changes that take place in order for your company to be successful. There needs to be an assessment of risk factors. The first risk that I have identified is that there is no segregation of duties. Having one accountant who serves a treasurer and controller is a risk that could lead to internal fraud. With this one person being in charge of all supply purchases and payments as well as reciveing checks and being in charge of the monthly bank reconciliation there are no checks and balances put in place to discourage fraudulant behavior or to catch it if it were happening. More than one person should be assissgned to these responsibilities and they should be different people in different departments. There needs to be clear establisment of responsiblities. Also, while locking up the check over the weekend is a good practice, the checks that the accountant gets on payday should be locked up or secured immediately to ensure safety of employee funds. Right now there is a violation of the physical control procedure of cash disbursment.
In order to avoid any further embarrassement on behalf of the company or the President of the company there should be better human resource control meaning a thorough background check should be done on all employees before hiring (Kimel pg 344). This is currently being violated. There should also be individual computer passwords distributed. This independent internal verification would help with employee accountability and integrity (Kimel pg 343).
