ENLARGING AN EMPLOYER'S FIDUCIARY HAT: VARITY CORP. V. HOWE INCREASES EMPLOYERS'; EXPOSURE TO LIABILITY WHEN THEY ACT AS ERISA FIDUCIARIES
-Shelly Ward

- Ward’s article discusses the circumstances surrounding the 1996 Supreme Court case: Variety corp. V. Howe
- The court ruled that an individual may recover damages stemming from the a breach of fiduciary duty by a plan’s administrator
- Ward explains that ERISA’s principles were based on the common law governing trusts; trust laws were also used in interpreting cases involving ERISA
- Variety V. Howe was unique because trust law was utilized to a large extent rather than ERISA itself
- Ward says ERISA was intended to be a “pension Bill of Rights” and that it required a person to act in a “fiduciary capacity” to manage the plan
- Terms are ambiguous in ERISA in regards to whom is able to be granted relief when there is a breach of the fiduciary duty. (502)
- In Mass. Mutual Life Insurance V. Russel, the Supreme Court ruled that a person cannot sue for extra-contractual damages; ERISA does not imply this right
- In Mertens V. Hewitt associates the Supreme Court ruled that an individual is not entitled to relief from a nonfiduciary who participates in a breach of a fiduciary duty
- Many circuits have adopted similar rulings in that an individual cannot be granted relief concerning a breach of the fiduciary duty states in ERISA. Some other circuits interpret the Supreme Court rulings differently. Essentially, much confusion remains.
- Finally, the Variety case provided some clarity to the issue; The Supreme Court found that the defendant deceived its employees and thus violated the fiduciary duty owed to the employees set forth in ERISA
- Justice Breyer wrote that one must look beyond trust law and actually reliy on parts of ERISA itself
- The key to the case was determining whether Variety could act as both a fiduciary and an employer; then establish that a breach of the fiduciary duty actually took place
- Breyer did not rely on prior court cases when determining if individual monetary relief would be appropriate; the words “appropriate equitable relief” in ERISA was the determining factor
- Determining what “appropriate equitable relief” constitutes is still a matter of controversy among the circuit courts
- Finally, Ward urges employers to be aware that they are both a fiduciary and employer and that they must pay close attention to their communications with employees regarding pension benefits

...best and the brightest, but also those who fit the culture. Workforce is the most important asset of any firm; Zappos scores here. Zappos recruits only “happy” individuals, puts them through a series of paid training programs, weeding out uncommitted individuals, and empowers its employees by letting them be creative and imaginative. Furthermore, employees are authorized to go to any extent to satisfy the needs of the customer. The firm’s undiluted focus on the three C's- clothing, customer service, and culture – is probably the most important reason for its tremendous growth and success. Given the focus of Zappos, these competitive advantages are sustainable. Online retailing has traditionally been about cutting prices; this is a zero sum game, in which the value is captured by the consumers and not by the players. Zappos’ strategy is to focus on customer service. Given the limited interaction with online shopping, Zappos’ positioning strategy is unique. Only a fraction of those placing orders online contact customer service; even those who never contact customer service are influenced by the perception Zappos has ingrained in its customers. While customers take time to decide on a product, they would like to have it...

...General strategy: Be aggressive as it’s a zero-sum game. I think the first pitfall comes from teams who listen to the professor and treat it as a friendly competition, or take the advice to be a quality niche player. It’s possible to take over the market and grab every segment, which has the benefit of choking revenue from other companies while making yours look better. Since you’re trying to be first, your scorecard will establish the class curve and automatically give your team an A. Yes, for probably the only opportunity you will have in college, you receive an A by lowering the grades of your fellow classmates. Enjoy the ride. Round 1: Borrow long term debt to the hilt, and issue max stock and you should have around $56 million to play with. You’ll zoom ahead of your classmates as they’re too timid to fully commit and go all-in. College students in their early twenties have this misconception that low debt is a good thing, probably because they’ve been traumatized by student loans. Companies use debt for positive things such as growth and plant investment, similar to homeowners who take on a mortgage or take out equity on their home; it shouldn’t be seen as a bad thing. Before starting your practice rounds, read your capstone student guide a couple times to familiarize yourself with the game. It’s a desperate situation when you try to intuit or “feel” your way through the game. We had a few teams who didn’t do the research and lost their shirts. Remember what it felt...

How to Use Chopsticks

...How To Use Chopsticks Will you eat a sandwich with a spoon or use a fork to have an ice cream? No? Why? Because every food, to taste better, must be consumed using the right vessels and cutlery! Same is the case with Chinese and Japanese foods which seem to taste better when eaten with chopsticks. The origin of chopsticks can be dated back to China, around 3000 to 5000 years ago. Widely used in Japan, China, Korea and Vietnam to eat all kinds of foods, most of the chopsticks are made of bamboo while some are also made of ivory, plastic, silver and jade. They are considered as extensions of the fingers and are considered much better than spoons and forks in their usage. Although the respective Asian communities use chopsticks as effortlessly and naturally as Europeans use forks, it doesn’t really come that easily for the rest of us. Despite the fact that most of the world thinks of them as impossible feats, chopsticks actually provides your hands with a physical affinity with the food — something that our quintessential spoons, forks and knives can never boast of. Having said that, we also acknowledge that eating with chopsticks could require some training and hence the next section that talks about how to use chopsticks. Eating With Chopsticks * Clasp one chopstick between your thumb and middle finger. The chopstick must be in such a position that it is placed at the base of your thumb and at the lower joint of the middle finger. While the bottom chopstick remains intact...

The Right Culture and Effective Teams = Good Safety Management : )

...Why be concerned about culture when it comes to safety? The answer: corporate culture influences all the important things that go on in a company. It determines how employees, suppliers, and customers are treated and work together; how well production or services are performed; how distribution is handled and how employee safety is addressed. What causes employee accidents? The most frequent answer is "carelessness of the employees." This is not surprising as committee of industrial safety, stated in the 1990's "The unsafe acts of persons are responsible for the majority of accidents". Even today knowing the important role culture plays on reducing accidents most managers still firmly believe "unsafe actions" or "at risk behaviors" are responsible for most employee accidents. The idea seems to be embedded in their DNA. In other words it is part of their culture. There are four essential elements for effective team management: The culture of the organization must lead, support and protect teams. People, managers and workers, must have or acquire the interpersonal and rational skills required to work effectively on a team. People must be given the opportunity to practice team skills before working on an actual team managed project and continually thereafter. It will take time and patience to develop and hone these skills. As teams progress they must be given the appropriate level of authority to implement ideas and recommendations without management oversight...

...(Emery, Finnerty, & Stowe, 2007). By not considering expansion or merger Mr. Navallez could put his business future in jeopardy which is an example of opportunity cost. Another concept noticed is the Principle of Two Sided Transaction. This principle states that there are two sides to every transaction (Emery et al., 2007). The concept relates to the scenario by Mr. Navallez becoming a distributor for his second competitor, who operates only in Norway. Guillermo Furniture Store would benefit by adding distribution services to the company and the competitor gains the distribution network or link needed to sell its products in the United States. Considering this is a win-win situation for both companies it is an example of non-zero sum game. The third concept, the Signaling Principle which states actions convey information....

Bluffing Game

...Game We will play the Bluffing Game next class. As a preparation, please think about the game, answer the questions on the opposite side, and turn in this sheet to the TA or on Moodle before 9:00 am 4/1/12. Description of Bluffing Game The game is a very simple sort of poker. Be prepared to play either role (A or B) Both players put $100 (hypothetical money) into “the pot” before play begins Player A receives a card. 1/3 of time it’s “Good Card”, 2/3 of time it’s “Bad Card”. (Player B does not get a card.) After getting the card, Player A can either bet $100 more (“Raise”) or Not If Not Raise, game ends and Player A wins the pot (for net winning +100) if Good Card and loses pot (for net –100) if Bad Card. This is a zero-sum game, so B loses whatever A wins and vice versa. If Raise, Player B either gives up (“Fold”) or puts in an extra $100 also (“Call”) oIf Fold, Player A wins the pot automatically (payoff +100) oIf Call, Player A wins the pot if Good Card (payoff +200) and loses the pot if Bad Card (payoff -200) How would you play? Suppose that, before the game is played, your opponent is given the chance to tell you “how she thinks the game should be played”. (Suppose for our purposes that she tells the truth.) 1. “The way to play is to Raise given a Good Card and Not Raise given a Bad Card. This maximizes one’s winnings and minimizes one’s losses.” * If you are player B, how would you play, given that this is how she thinks one should play...
