AGGREMENT FOR PURCHASE OF CORPORATE STOCK THIS AGREEMENT FOR DISTRIBUTION OF CORPORATE STOCK, hereinafter referred to as “Agreement”, is made on the ____ day of _____ , 2012 for the distribution of stock of Career-Sync, Inc., an Illinois corporation, by and between Jacob Donnewald, of Joliet, Illinois, hereinafter referred to as “Seller”, and hereinafter referred to as “Purchaser”. The seller agrees to sell to the purchaser, and the purchaser agrees to purchase from the seller, 50 Shares of capital stock of Career-Sync, Inc. , an Illinois corporation, at the price and on the terms and conditions herein set forth, said 50 shares representing 50% of the issued shares of said corporation.
1. PURCHASE PRICE. The purchase price to be paid by the purchaser to the seller for said 50 shares of capital stock shall be Two Thousand and NO/100 Dollars ($10,000.00).
2. DELIVERY OF STOCK AND PAYMENT OF PURCHSE PRICE.
A. The seller shall deliver to Attorney Chris D. Rouskey, as Escrow Agent, The Certificate for the shares of capital stock sold hereunder by the seller. The Escrow Agent shall hold said certificate and shall surrender and deliver to purchaser the same only upon one of the following:
i. An order signed by the parties hereto, their respective legal representatives or assigns; ii. To the purchasers upon proof of payment and performance of the terms of this agreement; or iii. In obedience of the process or Order of a Court, said Escrow Agent is hereby expressly authorized to regard and to comply with and obey any and all orders, Judgments or Decrees entered or issued by any Court with or without jurisdiction, and in case the said Escrow Agent obeys or complies with any such Order, Judgment or Decree of any Court, it shall not be liable to any of the parties hereto or any other person, firm or corporation by reason of such compliance, notwithstanding any such
