We realize the civil lawsuit of Rose Hills filed against Grupo Deco California in California State court. Grupo Deco California’s legal structure is recognized as Limited Liability Company and Rose Hills has a Corporation legal structure. Rose Hills has a variety of business which includes the operation of Funeral homes and cemeteries in southern California. Rose Hills gets an agreement to lease one of their Funeral homes (San Fernando Funeral Home) to Grupo Deco California.
Legal form of Business
Both Grupo Deco California and Rose Hills have a Corporation as their legal structure. A Corporation is one of the most common corporate structures we currently have. The Corporation is owned by stockholders and it is legally considered a separate entity. Due to the fact that is legally separated, the stockholders are totally protected from creditors. According to Leonard, David, Marilyn, and Gwendolyn (2006) “A stockholder's personal liability is thus usually limited to the amount of investment in the corporation.” (p. 174).
Some advantages of a corporation is that a corporation’s life continues regardless of what may happen to its shareholders or officers. Raising Capital can be easier with this type of legal structure by borrowing, selling stocks. Also, a shareholder may transfer his or her ownership of the business without interrupting operations. And probably the most important, a corporation is has a limited liability that protects owners personally if Company is being sued for any debt of the corporation. The only liability the owner’s have is the capital stock invested in the corporation. There are legal disputes that need to be resolved in the best way possible so you can still keep relations with the country you are doing business with. The issues involved with resolving legal disputes are making sure not to violate the contract. If the business violates the contract then the business can be sued by their partner in the foreign country. In my simulation with CadMax, I decided to use arbitration (Melvin, 2011 pg. 637) to resolve conflicts. This worked out very well in the simulation and made my business work well with my partner.
