CASO MP

Hechos:

1. MP es una sociedad anónima cerrada que tienen un accionista (asumamos que estamos dentro de los 6 meses que la LGS autoriza) denominado el Accionista Mayoritario.

2. Actualmente MP tiene activos por S/. 40 millones, pasivos por S/. 23 millones y un patrimonio de S/. 17 millones de los cuales 16 corresponden a capital social y 1 a resultados acumulados.

3. La sociedad SNN es dueña de un inmueble (valor de compra S/. 900,000 – valor actual de mercado S/. 15,000,000). Sobre este inmueble se ha constituido un derecho de superficie a favor de MP que vence en el 2018, en el cual se ha construido la fábrica de MP.

4. Los accionistas de SNN son en partes iguales Panamá 1 y Panamá 2, ambas sociedades constituidas en Panamá.

5. Hay un inversionista que ha aceptado invertir 12 millones de soles a cambio de lo cual recibirá el 35% de las acciones de MP, pero ha puesto las siguientes condiciones para llevar a cabo la inversión:

* MP debe desprenderse de cuentas por cobrar por S/. 20 millones, y cuentas por pagar por S/. 4 millones vinculadas con exportaciones a Venezuela.

* MP debe consolidar la propiedad sobre el inmueble que actualmente está a nombre de SNN.

6. Los accionistas controladores del Accionista Mayoritario, que son las mismas personas naturales que controlan Panamá 1 y Panamá 2, han aceptado las condiciones requeridas por el Inversionista, siempre que el Accionista Mayoritario deje de ser accionista de MP, y que Panamá 1 y Panamá 2, cada uno, se conviertan en titulares del 32.5% de MP y el Accionista Mayoritario deje de ser accionista de MP.

Pregunta:

¿Qué acciones plantea llevar a cabo para implementar la inversión de S/. 12 millones, cumpliendo con lo requerido por el Inversionista y los accionistas controladores de Panamá 1 y Panamá 2? Se debe buscar aquella estructura que sea más eficiente en términos de costos, simplicidad y tiempos.
