The article illustrates how the different rules and legislature affect different size business, and the ramifications that resulted for companies that must follow the Sarbanes-Oxley Act. The authors of the article also conducted a study on whether or not fraud of the financial statements was in direct correlation of businesses filing bankruptcy (Nogler & Inwon, 2011, p. 68) like in the cases of Enron and WorldCom. The results found that the larger the company that filed bankruptcy the more likely that securities fraud litigation and general overstatement of the revenue and assets of the company occurred (Nogler & Inwon, 2011). Law 421 Week 2 Learning Team Assignment Weekly Reflection

...Learning Team Weekly Reflection Law/421 University of Phoenix In Week one of Contemporary Business Law, Team A learned about substantive, procedural, criminal, civil, common, and statutory law. In the reading assignments for week one, we discerned the differences that separate the laws and how the courts enforce the laws. Corporations and businesses are awarded protections under the Amendments to the Constitution of the United States that protect them from fraudulence. The following essay covers Team A interpretation of the different laws and how the laws pertain to corporations, businesses, and our current places of employment. Substantive Law and Procedural Law Substantive laws are laws that give people rights. These rights also create certain duties. Procedural laws outline what must be done in order to exercise substantive rights. An individual is granted the right to obtain restitution when they have suffered losses due to another’s actions. This right would be a substantive law. Procedural law provides information on how to use the legal system to file a lawsuit and how to obtain restitution once awarded by the court (Melvin, 2011). The Fourteenth Amendment of the U.S. Constitution applies the Bill of Rights to the states. The Due Process clause outlines procedural laws when the government affects an individual’s life, liberty, or property rights. If the government has to interfere with...

...Law in Business and Society Name LAW/421 Prof March   The functions and role of law in business and society is something that people don’t put much thought into, but it is used on a daily basis in the workplace. I will discuss these functions and how they relate to business and society thru my personal experiences as well as providing textbook definitions as well. A society that runs efficiently is one that allows laws to regulate social behavior. Laws will also provide ethical standards and expectations as well as providing rules of conduct. They also provide measures to enforce rules and means for settling disputes as well. According to “The Role And Functions Of Law In Business And Society” (2013), “Other functions of law include; peacekeeping: checking government power and promoting personal freedom; facilitating planning and the realization of reasonable expectations; promoting economic growth through free competition; promoting social justice; and protecting the environment.” Commerce would likely collapse if we did not have these laws to govern actions of people and businesses. Laws are broken down into a variety of different types. The different types are constitutions, common law, statutes, executive orders, ordinances, and treaties. A constitution law is the overriding law. This establishes if a certain law will be federal or...

...Read the “Theory to Practice” section at the end of Ch. 6 of the text. Answer Questions 1 through 6 based on the scenario in the “Theory to Practice” section, and complete the following in your response: 1) At what point, if ever, did the parties have a contract? I don’t believe that there was a contract because even though there was an e-mail describing the contents of a draft of a contract, there were no signatures approving it. 2) What facts may weigh in favor of or against Chou in terms of the parties’ objective intent to contract? Although BTT had made a large payment to Chau, the fact is that no written agreement was agreed on which works against Chau. 3)Does the fact that the parties were communicating by e-mail have any impact on your analysis in Questions 1 and 2 (above)? No. The fact that Chau and BTT were emailing each other is irrelevant to the existence of a contract, there were merely talking about it and never memorialized it in contract form. 4) What role does the statute of frauds play in this contract? This transaction had a value of over $500 and as such the UCC provisions could apply had the contract been in writing and had been accepted by both parties. 5) Could BTT avoid this contract under the doctrine of mistake? Explain. Would either party have any other defenses that would allow the contract to be avoided? No, BTT could not avoid contract under the doctrine of mistake, or any other defense, because both parties...

...The Roles and Functions of Law in Business No Name LAW/421 September 16, 2013 Richard Simon, J.D. The Roles and Functions of Law in Business In order for a business to run successfully, there needs to be a balance of good employees, a good moral code, and a sound foundation in rules and regulations. Some of the rules and regulations within a company will be attributable to the current laws. These laws help companies function in a way that is ethical and fair to its business partners, customers, and employees. No company can run and make a profit without following guidelines set in place. Some may not realize that laws are also in place to protect the company as well. Wrong doings can happen on both sides. Developing laws protects everyone. In society, the same rules apply. Laws are set in place to keep things orderly and to keep individuals safe. There are hundreds of laws. Some are not well-known to the public, but some are so well-known that they have just become a form of common sense. Individuals know that it is wrong to steal and most will refrain from doing so because they know that if they do not, there is a chance of being fined or incarcerated. Business Law Business law primarily deals with businesses that are already in place and the creation of new businesses. Some issues that business law addresses are tax laws, intellectual property, employment law, bankruptcy, and real estate (Melvin, 2011). These laws provide solid ethical expectations...

Law 421 Week 5 Article Review

... companies do, just like WorldCom and Enron as mentioned before. MANAGERIAL PERSPECTIVE Discuss how the legal issues affect business. For example, could the problems have been avoided? Explain. Discuss realistic solutions supported by sound legal and business principles. One of the biggest threats to financial stability for a company is fraud. The article presented legal issues and showed how truly damaging fraud can be. In the study conducted by the author, there were well over a thousand companies that filed for bankruptcy and almost 80% of them conducted some sort of fraud. The facts of this study show that the Sarbanes-Oxley Act are fully justified in putting forth the effort to try to stop illegal issues within the finances of corporations by holding people responsible for their actions and for the actions of the associates around them. People use very creative methods in reporting financial information in Ponzi schemes and needs to be closely monitored in order to prevent any losses for the stakeholders. There should be realistic solutions for the betterment of the corporate world included in laws. Laws that provide protection to employees such as accountants and auditors because where the laws stand today, liability usually falls upon positions like the CEO, CFO or other positions of that nature when there are also cases where those positions as well need protection from the corrupt infrastructure. Small businesses should have laws in place that would help......

Law 421 Week 5 Article Review

...Article Review Sarbanes-Oxley Act (SOX Act) of 2002 - 421/LAW October 21, 2015 How Does the Sarbanes-Oxley Act of 2002 Affect Small Business Owners? (Chron, 2015) Article Synopsis Senator Paul Sarbanes and Representative Michael Oxley proposed the Act to toughen corporate liability, prevent scandalous fraud, and to protect company investors. Companies would go broke soon after showing and reporting that their financial reports were sound and company is in good standings. An example would be Enron. Knowingly gave incorrect financial numbers on their transactions information to the government auditors to hide huge losses. Congress passed the Sarbanes-Oxley Act following corporate scandals to make companies accountable for their financial records (Chron, 2015). The Sarbanes-Oxley Act would magnify management's judgement about full disclosure and ethical practices by making them more aware of the possible outcomes should they be less than honest or fail to maintain compliance. The Sarbanes-Oxley Act holds executive and financial officers of a company answerable for the financial information they provide. When there is a change in the finances of a company, they must report the changes right away. They are not to wait until the next financial report. Companies large and small are required to report specific fiscal information, and procedures to ensure all financial records are legal. All public companies, large and small have to follow Sarbanes-Oxley Act. While...

Week One Weekly Reflection

...Explain how a job analysis is used to create a job description. 2.2 Explain the functions of a job description. This week I was very comfortable with our two main objectives; of how the process of job analysis is used to create a job description and the functions of any job description. Basically the outcome of any job analysis process is the job description; as the second one is a vital tool in the hand of decision makers to give the position to the right candidate or determine compensation for example. Job description refers to the required tasks, knowledge, skills, abilities, and reporting structure required for jobs. The description of the job contains many important elements such as (the position title, summery of the position, essential duties and responsibilities…etc.). Our chapter mentioned something coat my eyes to describe the importance of job analysis stating; “Jobs are important to individuals: They help determine standards of living, places of residence, status (value ascribed to individuals because of their position), and even a personal sense of self-worth. Jobs are important to organizations because they are the vehicles through which work (and thus organizational objectives) is accomplished.”  (Wayne F. Cascio, 2010, p. 162). According to this paragraph when HR conducts the process of job analysis they are actually contributing to the success of their organization. This process can be defined as the “ systematic study of jobs to determine......
