Restaurant/bar:

In the restaurant scenario the first order of business is find a location for the sports bar this is very important, location can make or break the business. Do some research about a location for the type of clientele they are searching for? Create a business plan and possible scenarios, for the amount of money needed for the best possible solution and also for option B, always have a backup plan. Even though they will have an investor a business plan is a good idea to have a floor plan about how to proceed with the business For this type of business a LLC will be the best option, Miriam would be what is called a silent partner, she would facilitate the start up cash, Lou and Jose will do the work plus manage the facility. They would have to agree on percentages based on the amount of investment and work that they will be doing. As a LLC the investors Miriam, Lou and Jose are protected, if they want to be sued by anyone, the sports bar would be held responsible. From the taxes perspective the LLC pays its own taxes and the investors are responsible for their individual tax returns.
Because funds are low it is best to start small and grow with the business instead of having lost of TV’s around the facility perhaps two or three depending on the size. Definitely apply for the alcohol license with enough time so that at opening day it will be ready, clear all the health permits and regulations. You cannot be a sports bar without selling alcohol, that license from the TABC is very important. Insurance for the facility, stock, fixtures, in case of any injuries by patrons or employees, make sure that the insurance has enough coverage in case of any accident. The business that opens and closes most often is a restaurant great preparation and dedication is needed.
