Riordan’s legal business systems and policies are very well put together. Lowell Bradford is the Chief Legal Counsel for Riordan Manufacturing. The company deals with patented polymers to make plastic products, so Mr. Bradford handles these patent applications personally. The business system is handled mainly through Mr. Bradford when it comes to legal matters. All members of the company come to Mr. Bradford about legal questions and if he cannot answer it through his personal knowledge he will consult the companies law firm that is retained by Riordan Manufacturing. Litteral and Finkel is the law firm that is retained by Riordan manufacturing. They are offered a constant rate to ensure that they can quickly respond if there are any issues with litigation, tax issues, or real estate inquiries. Mr. Bradford closely observes any legal activity referred to Litteral and Finkel on behalf of the company. All legal fees are charged against the retainer and if there are anymore outstanding amounts they are billed to Riordan Manufacturing at the end of the month. The retainer is a monthly charge that does not carry over into other months. Litteral and Finkel are very close to the company because of the relationship with Dr. Riordan’s cousin that used to be part of the firm before he passed away. The firm that is at Riordan manufacturing’s disposal at anytime deals with the areas of tax law, real estate transactions, employment law, immigration matters, civil litigation, and workers compensation. Also they will be consulted in the matters of labor law and custom regulations that deal with the many regions that Riordan manufacturing deals with. ...Plan for Riordan Manufacturing October 19, 2009 Riordan Manufacturing is a profitable company generating large amounts of revenue for Riordan Industries. This compliance plan will outline the company’s legal processes and standards to ensure the company will be able to continue to operate and remain profitable in the future. The plan will address the laws that affect the company and provide a guideline for ensuring employees adhere to these laws. Riordan Manufacturing was started in 1991 by Dr. Riordan. He started the company by developing a process for turning polymers into high tensile strength plastic substrates. He patented these processes. In 1992 he purchased a manufacturing plant that made fans and started to get into the manufacturing business instead of just research and development. In 2000 the company started to venture out and expanded into China. This plan will outline an Alternative Dispute Resolution (ADR) for the company to use to keep them on track with their mission. Then discuss enterprise and product liability. Briefly discussed will be issues with international law and how those laws affect the expansion into China. The paper will cover tangible and intellectual property, legal forms of business as well as governess. The paper will also cover enterprise risk management as outlined by the Committee of Sponsoring Organizations of the Treadway Commission (COSO). ...current and future systems for Riordan Manufacturing’s Human Resource and Legal departments. We have done an evaluation of the systems as they are today. The goal has been to identify areas that need improvement. Our suggestions are as follows. Human Resource The present Human Resource Information System (HRIS) was installed in 1992. Here is a short rundown of what the system does: stores employee information (pay rate, hire date etc.), contains separate excel spreadsheets for training/development and job analysis/salary compensation, job openings and resume filing, and employee relations (complaints, grievances etc.) ("HRIS", 2005). Upon review, it is concluded that Riordan Manufacturing is operating on an outdated HRIS. This has at least two disadvantages. First and foremost, the current system has security concerns. Second, the current system is not efficient. A survey of HRIS systems users has shown that lack of efficiency is one of the biggest problems with old HRIS systems, and therefore one of the top priorities in a new system (“Top HRIS challenges,” 2002). Security concerns include the following: employee information changes must be submitted on paper creating a possibility for loose papers with personal information, resumes are stored in multiple unsecured locations, and employee files are kept in multiple unsecured locations. If any personal client information were to leak, Riordan could be engaged in legal difficulties. “If you work in...

Riordan Organizational Structures

...Riordan Manufacturing Business Systems Review Executive Summary The Executive Management Committee has tasked our team to review its operations, identify and describe the company’s current business system, and recommend changes. Based upon our evaluation, Riordan currently possesses three different operating systems in its Finance and Accounting department. It is recommended that the company consider employing a Windows Hyper-V Server 2008 platform with SQL Server 2008 and General Ledger in Microsoft Dynamics DP. The Legal department has retained the law firm of Litteral and Finkel, headed by Chief Legal Counsel Lowell Bradford, and requires no further changes at this time. The recommendation is to consider the Oracle E-Business Suite Human Resource Management system to help give the department structure and organization. Finally, a number of disparate databases, paper files, and microfiche have controlled the Sales and Marketing department. Finance and Accounting According to Riordan Manufacturing’s finance and accounting information, the company currently possesses three different operating systems Due to the processes in which Riordan acquired Michigan and Georgia facilities, no consolidation of business systems was considered and now requires integration into the company’s hardware and software systems. The corporate company in San Jose currently employs Windows Enterprise Resource Planning (ERP). The Michigan facility uses a pair of...

Rirodan Strategy to Succeed

...Riordan Strategies to Succeed Riordan Manufacturing Inc. is a leader in the field of plastic injection molding (Riordan, 2004). The company has facilities in San Jose, California, Albany, Georgia, Pontiac, Michigan and Hangzhou, China. Riordan's major customers are automotive parts manufacturers, aircraft manufacturers, the Department of Defense, beverage makers and bottlers, and appliance manufacturers (2004). Riordan Manufacturing Inc. is a privately held organization that wants to expand its operations. The company has three options that they are considering to do in order to expand the company. The options consist of going public through an IPO, acquiring another company in the same industry and merging with another company. When considering whether going public is advantageous and will maximize shareholder wealth the first step is to determine the risk return trade off. Additionally, two major factors not considered by the goal of profit maximization are uncertainty and timing. Keown (2005) states, "financial managers spend a significant portion of their time planning for a firm's uncertain future." When looking at whether an IPO would be advantageous or feasible a determination as to if this would adequately meet investors’ expectations of ROI; in so doing we would need to determine what types of strengths, weaknesses, opportunities and threats exist. For example: the prevailing economic conditions, market trends would need to be positive. Additionally, Riordan would...

Riordan Manufacturing Strategic Plan

...Riordan Manufacturing Strategic Plan MGT/498 Riordan Manufacturing Strategic Plan Strategic managers have responsibility to both the employees and stakeholders of the organization. Engaging in strategic management decisions should include ethics and social responsibilities. The expectation of such responsibilities from stakeholders is to fulfill legal and ethical economic decisions. Satisfying the purpose of the strategic planning process for Riordan Manufacturing, the management team has taken into consideration the economic, legal, ethical and discretionary responsibilities. According to Wheelen and Hunger (2010), the ethical and discretionary responsibilities are also known as social responsibilities. Ethical responsibilities require decision-makers to follow expected behaviors of society and the community. Riordan may take substantial risk by upsetting customers by failing to meet existing ethical values. Understanding the existing ethical values and standards of Riordan, the management team will assist senior leaders in planning and committing to social responsibilities. Why a Strategic Plan? A strategic management plan will focus Riordan’s objectives, goals, and efforts on long-term performance and sustainability. Managing short-term goals and successes is relatively uncomplicated and easily attainable, yet longevity is much more difficult to accomplish. Strategic management lays the framework for lasting success. Corporations can no longer sustain...

Corporate Erm

...Enterprise Risk Management (ERM) plan for your review. This plan was developed for use in Riordan Industries, Inc., Riordan Manufacturing, and all other Riordan ventures, subsidiaries, and partnerships. Unless otherwise noted, the term “Riordan” will refer to any or all of these entities. I have used the Committee of Sponsoring Organizations of the Treadway Commission (COSO) framework as a guide for recommendations regarding internal controls and corporate governance. The goal of this document is to provide a broad enterprise level framework that unifies the various parts of Riordan, to create an integrated whole. In doing so, the ERM mitigates the legal liability of the officers and directors of Riordan. Alternative Dispute Resolution It is reasonable to assume that in the course of business, Riordan will encounter conflict with a customer, a vendor, an employee, or some other person or organization. Riordan Manufacturing currently retains an independent law firm to handle all legal matters. Aside from the practice of keeping an attorney on retainer, Riordan appears to have no particular dispute resolution process in place. If a conflict escalates to the point that legal action is taken, it is most likely in Riordan’s best interests to settle disputes through the process of mediation. Mediation is preferable to other methods of dispute resolution for several reasons: Riordan avoids the risk of a potentially hostile venue or jury, and the mediator may help reduce...
