STOCK MARKET A stock market or equity market or share market is the aggregation of buyers and sellers (a loose network of economic transactions, not a physical facility or discrete entity) of stocks (also called shares) these may include securities listed on a stock exchange as well as those only traded privately. The term 'the stock market' is a somewhat abstract concept for the mechanism that enables the trading of company stocks. It is also used to describe the totality of all stocks and sometimes other securities, with the exception of bonds, commodities, and derivatives. The term is used especially to apply within one country as, for example, in the phrase "the stock market was up today", or in the term "stock market bubble". Bonds are still traditionally traded in an informal, over-the-counter market known as the bond market.

MUTUAL FUNDS A mutual fund is a professionally managed investment fund that pools money from many investors to purchase securities. While there is no legal definition of the term "mutual fund", it is most commonly applied only to those collective investment vehicles that are regulated and sold to the general public. They are sometimes referred to as "investment companies" or "registered investment companies". Many Filipinos are already investing without knowing it. Pag-IBIG Fund – a mandatory benefit for employees – is actually a type of mutual fund. The fund guarantees the refund of member's total accumulated savings, which consists of the member's accumulated contributions, the employer counterpart contributions, if any, and the dividend earnings credited to the member's account upon membership maturity, disability, or retirement. In a typical mutual fund, the refund of investment is not guaranteed. Over time, however, the interest or share price can even exceed the investor’s capital amount. For example, a capital of P50,000

Term Sheet

...Sheet)。但是,包括你的团队、你的董事会、你周围的朋友在内,都没有人曾经看到过一份Term Sheet,里面的某个“清算优先权”条款是这样写的(通常是英文): Series A Preferred shall be entitled to receive in preference to the holders of the Common Stock a per share amount equal to 2x the Original Purchase Price… 例如,A轮(Series A)融资的Term sheet中,规定A轮投资人,即A系列优先股股东(Series A preferred shareholders)能在普通股(Common)股东之前获得多少回报。 Liquidation Preference: In the event of any liquidation or winding up of the Company, the holders of the Series A Preferred shall be entitled to receive in preference to the holders of the Common Stock a per share amount equal to [x] the Original Purchase Price plus any declared but unpaid dividends (the Liquidation Preference). 清算优先权:在公司清算或结束业务时,A系列优先股股东有权优先于普通股股东获得每股[x]倍于原始购买价格的回报以及宣布但尚未发放的股利(清算优先权)。 ...

Family Control Adelphia was founded and managed by Rigas family, the case talks about how the company after 1985 decided to go public in order to acquire the capital investment to expand and become one of the biggest cable providers in the country. Nevertheless the Rigas family managed to keep almost full control of the company by keeping special type stocks with decision making power in the board. The company kept being managed by the funding family as well as the family keeping some of the cable assets for themselves in separate private partnerships and continuing to buy properties privately as well as for the company. The case explains how the privately owned assets of the family were managed by already-public Adelphia Corp by some management agreements and with this the expenses of such assets were consolidated with the expenses of Adelphia by some accounting system the company had; however the profits and revenues of such assets were not consolidated. This created the first red flag. The case shows clearly the structure of the board of directors; which was entirely created by family and...

Owners Equity

...Owner’s equity paper Taisha Ransom ACC/423 August 29, 2011 Henry Leonard Before investors invest in a company, he or she must take various items into consideration. First, both paid in capital and earned capital are looked at. These items tell investors how well the company is doing and if the company is profitable. Next, investors look at earnings, basic and diluted. Once an investor takes the above into consideration, he or she can then make the decision whether to invest in a company or not. This paper will discuss why it is important to keep paid in capital separate from earned capital. How earned capital and basic earnings are more important than paid in capital and diluted earnings will also be discussed. Before one can explain why it is important to keep paid in capital separate from earned capital, one must know the difference between the two. Earned capital, also known as retained earnings, is the capital companies make from everyday operations. “It consists of all undistributed income that remains invested in the company”(Kieso, D. E., Weygandt, J.J., & Warfied, T. D., 2007). Paid in capital is also known as contributed capital. Paid in capital is “the amount provided by stockholders to the corporation for use in the business” (Kieso, D. E., Weygandt, J.J., & Warfied, T. D., 2007). It is important to keep the two separate so the two are clearly stated for investor and stockholder information. Another reason it is important to keep the two separate is...
