TERMS AND CONDITIONS

Acceptance of Quotations
Bidders must quote on our form. Failure to do so could invalidate your quotation. Quotations shall remain open for acceptance by the Purchaser until the date set forth on the signature page of the Quotation. The lowest or any other Quotation shall not necessarily be accepted and the Purchaser may reject any or all quotations.

Quotation Requirements
Quotations shall be signed and shall contain all information and data requested in this Request for Quotation. Quotations which are incomplete, conditional or obscure, or which contain additions not called for, erasures, alterations or irregularities of any kind may, at the Purchaser's sole discretion, be rejected. If the Bidder is uncertain as to the proper manner of completing the Quotation, the Purchaser will, upon request, answer any enquiries relating thereto.

Quotations shall be irrevocable by the Bidder until the date set forth on the signature page of the quotation.

Notwithstanding any industry or trade custom to the contrary, the Purchaser does not represent that it will accept any quotation, accept the lowest quotation, or be precluded from accepting any quotation or other offer.

If a quotation is accepted, the Purchaser shall notify the successful Bidder in writing. The Bidder cannot rely upon oral acceptance.

Goods and Services Tax
Quoted prices shall be stated in Canadian OR U.S. currency and shall include all customs duties, surcharges, insurance premiums, permit and license fees. All taxes except the Goods and Services tax and Manitoba Sales tax shall be included in the quoted prices, and shall not be subject to any adjustment. Prices shall remain firm and not subject to adjustment for changes in wages, material costs or any other reason whatsoever.

Terms of Payment
Manitoba Hydro's standard payment terms are Net 30 days. In the evaluation of bids, Manitoba Hydro will also consider other payment terms.

Delivery Dates
The Bidder shall note the delivery date specified. If unable to deliver the Item by the date specified, the Bidder shall indicate the earliest date thereafter upon which the Item could be delivered.

Division of Items
The Items in this Request for Quotation may be purchased separately or collectively. The Purchaser may completely reject any or all quotations, or may accept one or any of the Items in this Request for Quotation.

The Bidder is to acknowledge that the material quoted is in accordance with the purchasing description, specification and/or drawings. YES_____NO______

Manitoba Content
All things being reasonably equal, preference shall be given to proposals which maximize Manitoba content.

Quantity Increase
The Purchaser reserves the right to increase the quantities on this quotation, subject to a mutually agreed price. The bidder shall indicate in their quotation any quantity discounts that may be available.

Warranties and Guarantees
Bidders are to indicate if any warranties and or guarantees apply to the Item offered and state conditions. Where applicable the Bidder shall provide the manufacturers' catalogue numbers.

Offer of Alternatives
The Bidder shall quote on all Items of the Work exactly as specified. In addition, if the Bidder believes that performance or economy can be improved by departure from this Request for Quotation, the Bidder shall state clearly, on a separate sheet to be attached, the details of the proposed alternative, and how, in the Bidder's opinion, the alternative will benefit the Purchaser. The price(s) for alternatives shall be set out in the same manner as the price(s) for the Items requested.

Assignment of Rights and Obligations
The Contractor shall not assign any of its rights or obligations arising under the contract without the written consent of the Purchaser, which consent may be arbitrarily withheld.

Addenda
Manitoba Hydro may, at any time prior to the date and time of closing, issue addenda changing this Request for Quotation and such addenda shall be an integral part of this Request for Quotation.
