...CG601 STUDENT ID# 27EMB12312 INSTRUCTOR: MR G. KACHALI TOPIC DISCUSS THE NEXUS BETWEEN CORPORATE GOVERNANCE AND PREVENTION OF FRAUD AND CORRUPTION IN THE WORKPLACE This paper will discuss the relationship between corporate governance and prevention of Fraud. One can safely argue that corporate governance is a medicine to cure corporate fraud in an organisation. The systems, procedures and policies set by the organisation to curb anomalies such as fraud and corruption largely entail corporate governance. To make this task easier, this paper shall define in detail the meaning of corporate fraud and later proceed by way of analysing how it can curbed by corporate governance. Wikipedia defines fraud as follows: It is a deception made for personal gain at the expense of an entity. According to GAW Kachali, it involves deception, confidence and trickery. There is local, national, regional and global resurgence of interest on how to prevent all forms of unethical practices such as corruption and fraud in both private and public sector including public bodies. Generally institutions with resources to prevent or combat corruption and fraud in all sectors seem to thrive. This is mainly successful through the setting up of strong pillars which promote transparency, fairness, professionalism, integrity and democracy in running the organisation; this is made possible by corporate governance. Corporate governance provides a positive direction which an entity must take. The most common definition...

Corporate Social Responsibility

...MSc in Accounting P58330 Financial Reporting Corporate Social Responsibility and Accounting Standards Christos Spanoudakis Student ID:13086848 Date of Submission: 3rd April 2014 Introduction Nowadays, more and more large companies publish except from their financial statements also social and environmental reports. It is broadly known that companies’ activities have as a consequence an impact in society and environment. For this reason companies should be responsible not only for financial performance but also should take into consideration the responsibility for their social and environmental performance. Governments, non-governmental organizations, press and media are the parties that keep the companies responsible for the impact of their activities on the environment and society (Porter and Kramer, 2007). That happens because some of these parties have direct influence in the company’s image. For example if media transmit news that erode company’s image, this will definitely influence negatively stakeholders’ opinion and trust for the organization (Neu et. al., 1998). The concept of Corporate Social Responsibility (CSR) works like a self-regulating tool, which aids the company to observe and guarantee that its operations are aligned with the law, ethical standards and international rules. Some companies, which apply CSR, achieve with their actions to benefit society beyond the primary objectives of the company and that which is mandatory by the legislation (McWilliams...

Corporate Governance

...scandal and ethical lapses have heightened people, press, and investor security of companies, creating demand for a corporate culture of integrity driven performance and a new corporate transparency. Management and boards now feel compelled to ensure that proper governance processes are in place to protect corporate reputation, brand image and share holder value. According to Pricewaterhouse Cooper’s 8th Annual global CEO survey (Dec 2004), 50% of retail industry CEOs believe that there is a strong relationship among all elements of GRC (governance, risk and compliance) and that effective governance can be a value driver and a benefit versus a cost, to their companies. Effective corporate governance requires management and board involvement, accountability, embracing the processes, compliance, and structure required to direct and manage the affairs of a corporation. Its overall goal is to ensure the financial viability to the enterprise and enhance share holder value. For the retail and customer industry, globalization, which entails multinational operations, various financial reporting systems, and complex supply chain with wholesalers, distributors, and multiple types of retailers, not to mention multiple brand portfolios, and various types of outlets, provides significant rationales for management and boards to develop an effective GRC program. Successful corporate governance depends largely on trade-off among the various conflicting interest groups like government, society,...
