...The Official Othello Game Rules 1. Othello Game Board and Discs Othello is a strategy board game played between two players. It is played using a square 8 ¥ 8 board and 64 discs. The discs are coloured black on one side and white on the opposite side. Each player shall be assigned to play a colour. 2. Object of the Game The Object of the game is to have the majority of colour discs on the board at the end of the game. 3. Game Set-up The game will be set-up with 2 black discs and 2 white discs at the centre of the board. They are arranged with black forming a North-East to South-West direction and white forming a NorthWest to South-East direction. This is illustrated in Figure 1 on the right. Figure 1. 4. Making Moves A move is made by placing a disc of the player’s colour on the board in a position that “out-flanks” one or more of the opponent’s discs. ...INTRODUCTION This paper discusses the HealthSouth Case including the activities and subsequent prosecution of its CEO, Richard Scrushy. “During the trial of former HealthSouth CEO Richard Scrushy, federal prosecutors argued that Scrushy must have known something was amiss with HealthSouth’s financial statements since there was a discrepancy between the company’s financial and nonfinancial performance.” Over a ten-year period from 1987 to 1997, HealthSouth enjoyed above–average growth at a rate of 31 percent per year. (Jennings, 2012, 2009, p. 183) This phenomenal growth was due, in part, to a series of mergers and acquisitions let by the efforts of the company’s CEO, Richard Scrushy who ran the company with an iron fist and has at least one recorded conversation directing a CFO to fix the numbers over time. The fraud lasted for seven years and totaled approximately $2.7 billion. Mr. Scrushy denied knowing anything about the fraud, claimed it was all done by the people around him and was ultimately found not guilty of the fraud at HealthSouth but was convicted on bribery and corruption charges. Our evidence suggests that independent directors have a bargaining advantage over the CEO that results in compensation more closely aligned with shareholders’ objectives. Firms with more outsiders on their boards award directors more equity-based compensation. When the CEO’s power over the board increases, compensation provides weaker incentives to monitor. Firms with more inside directors and with entrenched CEOs use less equity-based pay. ...“Deconstructing Independent Directors”(*) María Gutiérrez Maribel Sáez Universidad Carlos III de Madrid and ECGI Universidad Autónoma de Madrid January 2012 Abstract In this paper we argue that boards of directors lack the mandate, the incentives and the ability to control insiders, especially in jurisdictions where the main agency problem arises between controlling and minority shareholders. We analyze the problems that render independents an inefficient monitoring device for companies with concentrated ownership structures and conclude that the current focus of the regulators and codes of best practice on empowering independents is ineffective and companies would be better off choosing their board members at liberty. Nevertheless, we also present two different proposals for reform: independents as gatekeepers for the regulator and independents as surrogates of the minority. Both proposals are based on the idea that if independent directors are expected to monitor controlling shareholders their most important characteristic should be accountability rather than mere independence. This large gender disparity is hurting our boards immensely, as it is not showing enough of a large percentage of the population. In other countries the inclusion of other races and genders has been documented to show that it can help a company immensely in regards to profitability. In this report, we are going to talk about gender disparity, what it is, how it affects our Boards, what is being done, and ultimately what we can do even more to help bridge the gap in our gender disparity. We will also discuss the pros and cons of gender quotas when it comes to firms and women and also what is being done outside the United States to combat gender disparity internationally, either voluntarily or through law. Gender disparity, simply put, is inequality. In regards to this report we focus on the disparity of power when it comes to serving on Boards of Directors. According to Rachel Soares, who graphical depicts her information, shows that about 83% of all boards are composed of men overwhelmingly. (2011) That means women only make up about 17% of the member of a Board of Directors, and we consider that a problem. In figure 1 below, we show the disparity of women who hold positions on boards.
